Role Overview:
Mid level (Min 4 years PQE) role within Asia ex Japan Legal providing legal support to the Securitized Products and Private Credit (“SPPC”) team within the Global Markets Division, and the Acquisition & Leveraged Finance (“ALF”) and Equity Solutions (margin financing) (“EQS”) teams within the Investment Banking Division and Client Financing & Solutions business, in each case of Nomura Asia, with the focus of the work being on loan transactions. In performing such role, the candidate will work as part of a team of lawyers supporting the SPPC, ALF and EQS teams and also work closely with (i) members of the SPPC/ALF/EQS teams in various jurisdictions across Asia, (ii) other members of the Asia Legal team, including product specialist lawyers and subject matter specialist lawyers, (iii) Compliance team members, the New Business Group, internal Risk teams, and other corporate functions, and (iv) external legal counsel and other external counterparties.
Role Description:
- Provide support to the SPPC/ALF/EQS teams on legal, regulatory and reputational risk aspects of the SPPC/ALF/EQS business (working in conjunction with other corporate colleagues).
- Analyze relevant issues and seek alternatives to mitigate risk through appropriate legal documentation, transaction structures or otherwise.
- Draft, review, and negotiate a variety of legal documentation for the origination, closing and sell down of financial risk.
- Work closely with the SPPC/ALF/EQS and other corporate colleagues to ensure that relevant legal, regulatory and reputational risks are escalated to senior management for consideration and approval.
- Participate in internal committees and discussions relating to the LPI/ALF/ES business, including in relation to specific transactions and new products or structures.
- Supervise external legal counsel and control the quality/cost thereof.
Skills, experience, qualifications, and knowledge required:
- Minimum 4 years Post Qualification experience
- Transactional experience in lending transactions (experience in any of the following types of lending transactions: private credit, acquisition financing, margin financing, Pre-IPO financing, warehouse financing, receivables financing, real estate financing, other types of structured lending, loan trading and cross border transactions generally)
- Demonstrated experience in bilateral and syndicated lending documentation (including APLMA/LMA format)
- Strong contract review and drafting skills
- Clear communication skills
- Ability to work both independently and collaboratively with colleagues
- Enthusiastic, flexible and eager to learn
