The team provides legal advice and support to the Asia ex-Japan business of Nomura. It comprises Transaction Legal which supports the GM, IB and International Wealth Management businesses along with the Corporate Legal Department which includes general corporate, IT and Real Estate, employment, data privacy and litigation and investigations.  The Legal team is part of the Legal, Compliance and Controls department in the Corporate Division of the Nomura organization.

 

Role description:
Role within Asia ex-Japan Legal to provide legal coverage and support to the Asia ex Japan Global Markets (GM) franchise, to cover the Structured Credit, Macro, FX, Risk Solutions, Sales, Structuring and Trading Businesses.

 

Responsibilities would include the following:

  • Work closely with our GM Sales, Structuring and Trading Desks and Corporate Functions in the front to back review of over the counter, securitised and loan financial markets transaction documentation (eg. termsheets, final transaction documentation, pitch documentation, NDAs, mandate letters, distribution agreements, loan agreements and standard transactional documents) and advisory for the engagement, origination and closing of global markets transactions. 
  • Work closely with the GM and other corporate colleagues to ensure that relevant legal, regulatory and reputational risks are escalated to senior management for consideration and approval. 
  • Manage external legal counsel and control the quality/cost thereof.   
  • Participate in internal committees and discussions relating to the GM business, including in relation to specific transactions and new products or structures.


Skills, experience, qualifications, and knowledge required:

  • Qualified lawyer in a common law jurisdiction
  • Minimum 7 years PQE
  • Cross-border transactional experience in global markets transactions, particularly in derivatives, repurchase agreements and structured markets products
  • Contract review and drafting skills
  • Prior in-house experience at leading financial institutions

 

Additional Information:

  • Candidate should ideally come from an in-house role at an international commercial or investment bank, and with relevant private practice experience.  
  • Candidate should be able to work on multi-jurisdictional transactions and, (where applicable) in collaboration with other internal control functions and external counsel, advise internal stakeholders of the associated legal risks and support the Business on execution of transactions.
  • Candidate should be able to handle tight timelines as transactions and internal processes may be fast-moving.
  • Candidate should be aware of, and be able to keep up to date with, relevant global and regional legal, regulatory and industry developments.
