Nomura Alternative Investment Management (France) S.A.S ("NAIM")

 

NAIM is an investment management company of the Nomura group. Based in Paris, NAIM is regulated by the AMF and offers expertise in fund structuring, portfolio management and risk management. It aims to develop and manage best-in-class quantitative or structured funds using quantitative and systematic investment strategies (“QIS”) of the Nomura group. NAIM implements investment solutions for investors and managers in different formats:

  • Onshore and offshore AIFs (Alternative Investment Funds in France, Jersey, the Cayman  Islands) for institutions, and
  • UCITS funds (Ireland)  

 

Role Description:

 

Key objectives critical to success:

 

This role sits within NAIM providing Legal services and support to NAIM. The selected candidate will report directly to the NAIM CEO and functionally to the Nomura Paris Head of Legal. Additional access to various other resources within the broader  Nomura EMEA Legal, Compliance & Controls (LCC) function. The role will also include French Corporate Secretary work.

 

  • Reviewing legal agreements and fund documentation and providing legal advice/support NAIM business lines (Portfolio Management, Fund Structuring, Distribution, etc. ) to mitigate legal risk );
  • Review prospectus and fund documentation including Fund contracts (Fund Administration, Depositary, Distribution Agreements)
  • Assist with transactions across the NAIM business which involve French legal matters including ISDA, CSA, MIFCA, GMSLA, English law transactions, derivative transactions, with Nomura and external counterparties or brokers.
  • Managing the Fund’s passporting and registrations across various countries leveraging on the External Law Firm service providers
  • Providing Corporate Secretary support;
  • Providing advice on relevant local regulations as required; and
  • Responsibilities will include compliance with Privacy and GDPR matters.

 

Skills, experience, qualifications and knowledge required:

 

  • The successful candidate will be required to have prior experience at an investment firm, with exposure to Asset Management industry;
  • Good understanding of Global Markets (especially for credit/rate products), including derivatives, quantitative strategies, structured transactions;
  • Good knowledge of the regulatory framework and the funds’ regulation and ecosystems in Ireland, France, Luxembourg, Cayman, UK, Jersey;
  • Ability to work closely with Front Office (Fund Structuring, Structuring, Portfolio Management, Trading, Sales) and  control functions (Compliance, Legal, Risk Management) in France and internationally;
  • Good organizational skills, analytical mindset, rigorous yet solution oriented individual; and
  • The candidate should possess good communication skills (fluency in English and French, other languages a plus).
  • Regulations: MAR, MIFID, UCITS, AIFMD, ETF, FCP; French Asset Management and Banking Regulations;
  • Transactional Legal: ISDA, MIFCA, master confirmation;
  • Fund Third-Parties Agreements: Investment & Sub-Investment Management Agreements, Advisor Agreements, Distribution Agreements, Distribution and Introducing Broker Agreements, Fund Administration and Custody Agreements, etc;
  • Experience in registration and fund distribution restrictions and requirements across EMEA, AEJ, Americas, Japan;
  • Proactive in investigating and resolving issues;
  • Control mindset and good understanding of Operational risks;
  • Ability to manage own time and responsibilities;
  • An appetite to gain experience in new business areas and to develop expertise in relation new transactional types; and
  • Project management skills.
