Role Description

 

The Negotiator is responsible to draft, review and negotiate complex industry master agreements, ancillary documentation, and other contracts with counterparties.  In addition, the negotiator shall be engaged in understanding regulatory developments, market architecture changes, legal developments and industry initiatives. The negotiator must be professional with attention to detail and ability to manage multiple matters at the same time and to prioritize. The negotiator must have strong written and oral communication skills and the ability to use them effectively in a fast-paced and entrepreneurial environment. The negotiator should be comfortable thoroughly interrogating matters and making well-informed decisions.   

 

 

Role & Responsibilities

 

  • Draft, review and negotiate complex GMRA, GMSLA, ISDA, MRA, MSFTA, MSLA and various other agreements (for example, CDEA and confidentiality agreements), and amendments and supplemental documents thereto.
  • Efficiently, timely and independently resolve negotiations in conjunction with business timelines.
  • Communicate directly with counterparties and other external parties including outside counsel.
  • Collaborate and coordinate with internal stakeholders and departments, such as in Business, Credit, Compliance, Legal, Operations and Tax.
  • Provide negotiation guidance and interpretation concerning master agreements to other teams.
  • Address bespoke regulatory or master agreement related projects as needed.
  • Help maintain the various master agreement templates.

 

 

Key Skills

 

  • Embracement of diversity and inclusion in the workplace
  • Legal and/or financial services industry experience in contract negotiation required
  • Knowledgeable about regulatory developments, legal issues and industry initiatives, including for example, Dodd-Frank, FINRA 4210, Qualified Financial Contracts and IBOR remediation.  
  • Strong negotiating and execution skills.
  • Excellent interpersonal and communication skills. 
  • Strong analytical and organizational skills with the ability to manage multiple matters at the same time.
  • Proficient in Adobe Professional, and MS Word.
  • Strong grasp of MS Excel; including ability to use formulas to interrogate large data sets.
  • Experience driving change within a Legal group through the use of technology or process enhancements.
  • Ability to work in document management systems.  Willingness to embrace technology.
  • Effectively perform in a mixed office and remote work environment.

 

*base pay offered may vary depending on multiple individualized factors, including market location, corporate and functional title and duties, job-related knowledge and advanced degrees, skills, and experience.
