Divisional Overview:

 

Powai LC broadly covers the areas of Legal and Compliance, and is responsible for building a robust risk and control framework. The Powai LCC teams support Nomura Powai entities, as well as LCC teams globally to ensure effective risk management of Legal and Compliance related risks for the firm. Powai Legal comprises of the Corporate Legal and Transaction Legal functions, which provide advice and support on corporate, employment and transactional matters. The Offshore Legal team supports global teams on corporate and secretarial matters, Global Markets, and Masters documentation related requirements. Powai Compliance comprises of functions such as Core Compliance, Trade Surveillance, Electronic Communication Surveillance, Financial Crime Monitoring, Control Room & Disclosure Monitoring and Employee Compliance. The teams provide advisory and operations support to global / regional Compliance teams driven by global / regional policies and regulatory expectations.

 

Business Unit Overview:

 

The legal department provides support both to the India businesses and globally as well. The support areas include, but are not limited to IT, HR, ESS and Facilities, litigation, Real Estate, Employment Law, Corporate Secretarial, bond issuances, syndicated lending mandates, margin financing transactions, M&A advisory mandate, other Industry agreements and also drafts and negotiates prime brokerage and various commercial agreements.

Role & Responsibilities – Transactions Legal:

  • Documentation 
    • Drafting and reviewing trade documents for debt/notes issuances, trade confirmations, etc. on Credit and Rates asset classes.
    • Drafting, reviewing, and negotiating financial/derivative contracts and related documents of various jurisdictions India, Asia, Japan, EMEA and US including, prime brokerage agreements, synthetic prime brokerage master confirmation agreements and FX agreements with respect to various counterparty types such as hedge funds, banks, broker dealers, HNIs, mutual funds, pension funds, insurance and re-insurance providers, etc.
    • Drafting, reviewing and negotiating research agreements. Identifying and highlighting risks in the documentation to relevant stakeholders and corporate divisions and coordinating the approval process for deviations from Nomura standard terms.
    • Providing commercially savvy legal advice on a variety of matters basis the in-depth research and study of the applicable law provisions. Ensuring compliance with internal policies and regulatory requirements.
    • Being abreast with the changing laws and regulations.
    • Advising on the queries received from the business and legal teams related to agreements.
    • Liaising with stakeholders, regional lawyers and business partners in various locations of the firm.

 

  • Team Leadership 
    • Managing, developing and mentoring team of derivatives documentation specialists.
    • Resource allocation and workflow management.
    • Establishing and updating documentation standards and templates.
    • Creating and implementing training programs for junior team members.
    • Providing management reports.

Qualification:

 

 

 

 

Domain/ Technical

  • Qualified Law graduate with at least LLB degree.
  • Minimum 5-12 years of demonstrated experience in trade documents for debt/notes issuances and contracts drafting and negotiations.
  • Experience in managing challenging negotiations.
  • Ability to identify and highlight risks to relevant stakeholders and corporate divisions
  • Strategic thinking and problem-solving ability.
  • Strong negotiation and stakeholder management skills.
  • Excellent communication, analytical and legal skills, should have an eye for detail.
  • Proven ability to lead and develop teams, with at least 2 years of team management experience.
