Department Overview
The relevant individual will sit in the Markets Documentation and Advisory Legal team and will primarily support the Risk Solutions business on hedging and derivatives products.
The Markets Documentation and Advisory Legal team includes the Masters Documentation team, Structured Confirmation team and Regulatory Legal team, and sits in the wider Transaction Legal team which works across Global Markets and Investment Banking products. The relevant individual will also have the opportunity to work with the Global Markets legal team on derivative products, which also sits in the wider Transaction Legal team.
Role Overview
- Key lawyer working closely with the Risk Solutions Business with respect to the structuring, negotiation, documentation and execution of finance linked hedging, FX and interest rate deal contingent hedging arrangements and ancillary hedging arrangements and documentation such as equity commitment letters and novations.
- Advise on other derivative products on an ad hoc basis, including repos and TRS.
- Advise and assist in the creation, structuring, regulatory analysis and launch of new products and businesses relating to the Risk Solutions business and wider derivatives businesses.
- Interpret, educate and assist with the implementation of regulatory changes that impact the Risk Solutions businesses.
- Advise the business and manage legal risk in respect of terminations and defaults.
- Advise the Business, Risk, Compliance and others internally regarding legal and regulatory issues, developments and risks relating to the Risk Solutions business.
Skills, experience, qualifications and knowledge required:
- Strong experience with finance linked secured hedging and FX and interest rate deal contingent transactions.
- Familiarity with reviewing and analysing hedging rights and obligations in loan agreements and intercreditor agreements in leveraged finance and infrastructure financing structures;
- Familiarity with ISDA Master Agreements, long form confirmations and a preference for familiarity with other industry documentation (LMA, GMRA).
- Familiarity with other derivative products such as repos and TRS structures.
- Familiarity with the issues around security, insolvency, netting and opinions.
- Knowledge of termination and close-out provisions and issues around security enforcement and close-outs would be helpful.
- Strong communication and organisational, analytical, problem solving and time management skills.
- Ability to proactively manage stakeholders,
- Excellent communication and interpersonal skills -- ability to interact effectively with all levels of staff and management.
- Ability to balance priorities, work independently and respond proactively to business needs.
