Department overview:
The Nomura Asia ex-Japan Legal team provides legal advice and support to the Asia ex-Japan business of Nomura. It comprises Transaction Legal which supports the GM, IB and International Wealth Management businesses along with the Corporate Legal Department which includes general corporate, IT and Real Estate, employment, data privacy and litigation and investigations.  The Legal team is part of the Legal, Compliance and Controls department in the Corporate Division of the Nomura organization.

 

Role description:
Mid-level (8-12 years PQE) role within Hong Kong Legal providing (a) TMT legal support to IT divisions and other divisions’ technology initiatives locally, regionally and globally, (b) legal support to the Corporate Services and Real Estate team in Asia, and (c) legal support to all functions in Asia for vendor commercial contractual matters.  In performing such role, work closely with (i) members of relevant business / service owner of the initiative, (ii) other members of the Global Commercial Contracts Legal practice group and other Corporate Legal lawyers within Asia and in other regions, and (iii) local, regional and global internal stakeholders in other departments in connection with (a), (b) and (c) such as Global Technology Sourcing and Procurement, Information Security, Compliance, Data Protection, Business Continuity Management, Cloud Governance, Outsourcing, and others.

 

Responsibilities:

  • Review, draft and negotiate technology contracts in support of the organisation’s technology and digital transformation needs, which may be local, regional or global, as well as other commercial contracts including outsourcing, consultancy, market data, etc.
  • Analyze relevant issues, seek alternatives and help business resolve problems associated with technology, real estate and other vendor commercial contracts transactions and associated matters, and mitigate risk through appropriate legal documentation, transaction structures, internal operational procedures or otherwise.
  • Support the Head of Commercial Contracts, AEJ in negotiating and handling major global technology transactions for the firm.
  • Draft, review, and negotiate (including dealing directly with the vendor’s deal team and external counsel where necessary) a variety of legal documentation for various types of transactions relating to technology, real estate and other vendor commercial matters. 
  • Work closely with the business / service owner and other corporate colleagues to ensure that internal due diligence processes are completed, and relevant legal, regulatory and reputational risks are escalated to senior management for consideration and approval.   

 

Skills, experience, qualifications, and knowledge required:

  • Qualified Lawyer with minimum 8 years PQE
  • At least 5 years’ experience in TMT legal practice area
  • At least 5 years’ general contract law experience
  • Experience in real estate matters (including leases) being a bonus but not a must
  • Strong contract review and drafting skills
  • Clear communication skills
  • Strong problem solving skills
  • Ability to work both independently and collaboratively with colleagues
  • Enthusiastic, passionate, flexible and eager to learn
