Department Overview:
The Legal team is an integral part of the Legal, Compliance, and Controls ("LCC") function, which comprises dedicated professionals in law, compliance, and governance. This team provides essential support and services across Nomura's diverse business divisions, including Investment Banking, Global Markets, Corporate, and International Wealth Management. The LCC function is pivotal in safeguarding Nomura's interests and ensuring adherence to applicable legal and regulatory standards.
Role Overview:
Primary legal contact of our Global Markets Global Execution Services business (“GES”, currently branded as Instinet) to deliver legal support and guidance on GES’s business generating matters.
This position requires a dynamic legal expert who can partner with the GES Sales and Trading, Compliance, Risk, Operations and other legal subject matter experts to effectively navigate GES’s business generating contracts and related issues.
Role Description:
- Drafting, reviewing and negotiating a variety of agreements relating to the GES business, including but not limited to brokerage agreements, terms of business, electronic services agreements, commission sharing agreements, broker neutral agreements, introductory agreements, liquidity execution agreements, dark pool terms, DMA terms, NDA’s, ISDAs and other documentation.
- Provide legal advice and support regarding the GES platform and dark pool venue.
- Performing legal analysis of risks associated with the terms and conditions of such agreements and effectively communicating to business stakeholders.
- Assistance with ad-hoc legal projects, review of marketing materials, and policies and procedures.
- Provide advice and counsel to business teams on legal matters affecting the business.
Skills, experience, qualifications, and knowledge required:
- Qualified lawyer in Hong Kong, England and Wales or other common law jurisdictions.
- Strong preference for candidates with at least 7 years’ experience working in the financial services industry either in-house and/or within a law firm with emphasis on cash equities, brokerage businesses and/or regulatory issues in Hong Kong and the Asia Pacific region.
- Team player with strong communication and interpersonal skills, high comfort level interacting effectively with all levels of staff and management.
- Ability to work flexibly and effectively with cross-functional teams and management stakeholders to achieve common goals.
- Strong analytical, problem-solving, and decision-making skills, with a keen attention to detail.
- Proficiency in English, with strong written and verbal communication skills. Other language skills while not a must, is beneficial.
- Ability to manage multiple priorities and thrive under pressure in a fast-paced environment.
